Terms of Service – Climate Action Partners Inc.

Welcome to Climate Action Partners Inc. (“Climate Action Partners”, “we”, “our”, “us”). By purchasing carbon credits through our platform, you agree to the following terms:

1. Nature of Credits

  • Each carbon credit represents one tonne of CO₂ equivalent avoided or removed, issued under recognized registries (currently Verra, Gold Standard, and the Climate Action Reserve).
  • All credits purchased are retired on your behalf in the relevant registry and cannot be resold, traded, or treated as financial or investment products.
  • Retirement is final, non-reversible, and extinguishes all rights to the credits.
  • Neither Climate Action Partners nor the registries guarantee that any specific environmental or sustainable development outcome will be achieved beyond the issuance and retirement of credits.

2. Beneficiaries

  • Credits may be retired in your own name, in the name of another beneficiary, or anonymously (as selected at checkout).
  • Retirement certificates and links to the registry record will be provided by email.
  • Beneficiary designations are for ceremonial/recognition purposes only and do not create legal ownership rights in credits for such beneficiary.

3. Payment & Pricing

  • All prices are inclusive of applicable taxes unless otherwise stated.
  • We currently accept Shopify Pay and PayPal.
  • Prices are listed in CAD, with options for USD, EUR, or GBP.
  • You are responsible for any bank charges, currency conversion costs, or cross-border fees.

4. Refunds & Substitutions

  • Purchases are final upon payment.
  • If retirement is not possible due to registry or supply issues, we will provide either comparable credits of equal value or a refund at our discretion.
  • Refunds will not be provided for reasons other than our inability to complete a retirement.

5. Claims & Communication

  • You may communicate your support by stating you have “purchased and retired X tonnes of CO₂e through Climate Action Partners from [registry] projects.”
  • Use of terms such as “carbon neutral,” “climate neutral,” or “net zero” is not permitted unless specifically aligned with our guidance.
  • Example claims are available on our website. We are not responsible for claims made beyond those recommendations.
  • You must not make misleading or unsubstantiated environmental claims using credits purchased from us.

6. Liability & Disclaimers

  • Our liability is limited to the amount you paid for the credits purchased.
  • We are not liable for indirect, incidental, special, or consequential damages, nor for registry delays, errors, or project performance.
  • Credits and related data are provided “as is” without warranties of any kind, whether express or implied, including without limitation merchantability, fitness for purpose, or non-infringement.
  • You agree to indemnify and hold harmless Climate Action Partners against claims arising from your misuse of credits, beneficiary designations, or public claims beyond our guidance.

7. Restrictions

  • You must be at least 18 years old to purchase.
  • Credits are for voluntary use only and may not be used for compliance obligations.
  • Credits may not be purchased or held for speculative or investment purposes.
  • We reserve the right to refuse service to persons or entities subject to sanctions, suspected of unlawful activity, or where required by applicable law.

8. Governing Law & Disputes

  • These terms are governed by Canadian federal law.
  • Disputes will first be addressed through good-faith negotiation, and if unresolved, by binding arbitration in Canada.
  • Nothing in these terms limits rights that cannot be waived under applicable consumer protection law.

9. Changes

  • We may update these terms from time to time. Continued use of the platform constitutes acceptance of the updated terms.
